Explanatory document regarding the calling of a Special General Meeting under Rule 16 (b).



Club Rule 16 (b) provides three ways in which a Special General Meeting (SGM) may be called. It can be called by the President alone, or by a majority of the members of the Executive Council, or by the request of at least ten affiliated all breed Clubs. In this instance, ten all breed Clubs have called for a SGM to be held. Those ten Clubs are named on the notice of the SGM. They are Franklin Kennel Association, Hibiscus Coast Kennel Association, Horowhenua Kennel Association, Kumeu Kennel Association, Ladies Kennel Association, Nelson Ladies Kennel Association, New Plymouth Kennel Association, Ruahine Kennel Association, Tokoroa Kennel Association, and Waimakariri Kennel Association.

These ten Clubs have each forwarded, to NZKC office, a letter requesting a SGM be held and are seeking
That a vote of no confidence be recorded, and the resignation from all offices call for, of the President, Mr. John Perfect, the Senior Vice President, Mrs Pam Douglas, the South Island Vice President, Mr. Mike Bradley, and Executive Council member Mr. Lyn Sayers being the senior members of the staff sub-committee of the Executive Council that has failed to give due diligence to the issues relating to the matter surrounding the former Chief Executive Officer/Director Secretary, Mr. Brian Priest, and has brought the Club into disrepute


The calls for a SGM by the ten Clubs have been signed by the Club President and Secretary in each case.

The request from the last of the ten Clubs calling for a Special General Meeting was only received by NZKC office on 26th January 2010. Having received ten such requests, the NZKC was obliged under its rules to proceed to call a SGM within a reasonable time. The first meeting of the Executive Council was held on 20th & 21st February 2010 and a date for the SGM was set at this meeting. The date set allows for the 28 days notice which is required to be given under the rules. It is unfortunate that there is no date available that would not clash with the events of any Club.

This meeting was not called for at the request or the desire of the Executive Council, it was called for by the ten Clubs. From mid December until such time as the meeting date was set, the President, the Executive Council and the NZKC office has been castigated for allegedly delaying the calling of this SGM. However, as explained above, in practical terms there was no delay in setting the date.

An option suggested by one Club just prior to the Executive Council meeting was to delay the SGM until the Friday prior to the Annual Conference of Delegates in June of this year. This option is at variance to the allegations that Executive Council was trying to delay the SGM. If this option had been adopted, the SGM would not have been called in a timely manner, and would have involved additional and unnecessary expense for accommodation and meals on Friday for the attending delegates.

To avoid the need for a SGM and the associated costs, this matter could have been raised under General Business at the Annual Conference of Delegates.
